Terms and Conditions (T&C) of United Seedbanks

1. Scope and Contracting Parties

1.1. These Terms and Conditions (T&C) apply to all contracts concluded via the online shop under the domain unitedseedbanks.com (hereinafter: "shop") between United Seedbanks (hereinafter: "we" or "seller") and our customers (hereinafter: "buyer" or "consumer").

2. Conclusion of Contract

2.1. The presentation of products in our online shop does not constitute a binding offer, but an invitation to submit an order.
2.2. By submitting an order using the button “Place Order”, the buyer makes a binding offer to enter into a purchase contract.
2.3. Acceptance of the offer (and thereby the conclusion of the contract) occurs either through:
a) sending an order confirmation in text form (e.g. by email), or
b) delivery of the goods to the buyer.
The earlier point in time is decisive.

3. Language Validity

3.1. Displaying the shop in languages other than German serves solely as a non-binding aid to understanding.
3.2. Only the German version of these T&C and all contractual content on the domain unitedseedbanks.com is legally binding.

4. Prices and Shipping Costs

4.1. The prices listed in the shop at the time of ordering are final prices.
4.2. Shipping costs are charged separately.
4.3. For deliveries within Europe, shipping is free for orders over EUR 100.00. For orders below this amount, shipping costs are generally EUR 5.00. The exact shipping cost is clearly displayed before completing the order.

5. Payment Terms

5.1. Payment may be made via bank transfer (prepayment), in-store pickup, credit card, or Bitcoin.
5.2. Credit card payment (via Anyday): Processing is carried out by the service provider ANYDAY (anyday.io). The buyer’s credit card details are transmitted directly to Anyday and are not stored on our servers.

6. Delivery and Delivery Times

6.1. Full delivery of all products generally takes place within 2 to a maximum of 8 working days after payment is received or after conclusion of the contract.
6.2. Shipping is carried out by postal service.
6.3. Partial deliveries: Unless otherwise agreed, we are entitled to make partial deliveries. Any subsequent deliveries will be shipped free of charge.

7. Right of Withdrawal for Consumers

7.1. Right of withdrawal: As a consumer, you have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period begins on the day on which you, or a third party designated by you who is not the carrier, take possession of the goods.

7.2. To exercise your right of withdrawal, you must inform us (United Seedbanks, contact details) of your decision to withdraw via a clear statement (e.g. a letter sent by post or an email).

7.3. Consequences of withdrawal: If you withdraw from this contract, we will refund all payments received from you, including delivery costs, without delay and no later than fourteen days after receiving your notice of withdrawal. We will use the same payment method as in the original transaction unless expressly agreed otherwise. We may withhold the refund until we have received the goods back or until you provide proof of returning the goods, whichever occurs first.

7.4. Exclusion regarding germination: The legal right of withdrawal applies to the purchase of delivered goods. Excluding or limiting this right based on germination rates is not permitted, as seeds are not considered perishable goods under the relevant consumer laws (see also section 11.1).

8. Delivery Restrictions (Legal Requirements)

8.1. For legal reasons, shipping of the offered products is not possible to all countries.

9. Refusal or Failure to Accept Delivery

9.1. In case of unjustified refusal to accept delivered goods, we are entitled to charge the buyer for any resulting costs.
9.2. Our right to enforce fulfilment of the contract remains unaffected.

10. Warranty and Complaints

10.1. We supply only fresh original goods, generally less than 2 years old.
10.2. Warranty period: The statutory warranty period of 2 years from handover of the goods applies.
10.3. Complaints by business customers: Business buyers must check the goods immediately upon delivery and report any defects immediately, but no later than within 8 days. Otherwise, warranty claims expire.
10.4. Warranty claims: In the event of a defect, the buyer is initially entitled to repair or replacement. Only if these primary remedies are impossible or unreasonable may the buyer request a price reduction or cancellation of the contract.
10.5. Transport damage must be reported within 48 hours of receipt. Later reports cannot be compensated with free replacement.

11. Complaints and Disclaimer of Liability

11.1. We do not assume responsibility for the germination rate of seeds, as we only sell fresh seeds regularly tested for germination. Complaints must be directed to us. This does not affect the legal right of withdrawal.
11.2. Exchanges are only possible in cases of incorrect delivery or manufacturing defects.
11.3. Returns must include a copy of the delivery note or invoice.
11.4. Returns (for complaints or voluntary exchanges) are only accepted in undamaged original packaging.

12. General Limitation of Liability

12.1. We are liable for damages caused by us or our agents only in cases of intent or gross negligence.
12.2. This limitation does not apply to personal injury or liability under the Product Liability Act.
12.3. We are not liable for the accuracy of content originating from the manufacturer of the products.

13. Applicable Law and Jurisdiction

13.1. All legal relations between the seller and the buyer are subject exclusively to Austrian law, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection laws of the buyer’s country of residence remain unaffected.

13.2. Jurisdiction:
a) If the buyer is a consumer residing in Austria, claims may only be brought before the court responsible for the buyer’s place of residence, habitual residence, or place of employment.
b) If the buyer is a business customer, exclusive jurisdiction for all disputes arising from this contract is Bregenz.
